Terms & Conditions
Denzo Designs and Growth Marketing

1. Applicability
These Terms & Conditions apply to all services provided by Denzo Designs and Growth Marketing (“Denzo”) to clients, including proposals, quotes, agreements and ongoing work. By engaging our services, the client confirms to have read, understood and accepted these terms.
Any additional agreements are only valid if confirmed in writing.
2. Scope of Services
Denzo offers the following services:

Web Design and Development

Growth Marketing
-
UX/UI Design
-
AI Automation and Workflow Solutions
Photography and video content are not included unless explicitly arranged through third parties.
3. Quotes & Pricing

All quotes are non-binding and valid for 14 days.

All prices are exclusive of any third-party costs such as hosting, plugins, premium tools or external services unless stated otherwise.

Pricing may change annually based on market rates and tool costs.
4. Project Execution
-
Denzo works based on collaborative input but maintains creative and technical direction.
-
Clients must supply all content (text, images, brand assets) in the required format and timeline.
-
Delays in delivery of client content may affect the project timeline or result in additional costs.
5. Payments
-
A 50% deposit is required to begin any project.
-
Final payment (remaining 50%) is due before website launch or final delivery.

Payment terms are 14 days after invoice date. Late payments may incur additional fees.

In case of cancellation after project start, the deposit is non-refundable.
6. Ownership & Intellectual Property

All design, code and content created by Denzo remains the intellectual property of Denzo until full payment is received.

Denzo retains the right to showcase work in its portfolio and promotional materials unless otherwise agreed in writing.
7. Revisions & Delivery
-
Unless stated, a project includes two rounds of revisions.

Any extra revisions or scope changes may be billed at the hourly rate.

Delivery timelines are estimates and depend on client cooperation.
8. Hosting & Email Services
-
Denzo may assist with hosting setup but does not offer full support for email hosting.
-
Hosting and domain are the client’s responsibility unless agreed otherwise.
-
Denzo is not liable for downtime, loss of data or email issues caused by third-party hosting providers.
9. Liability
-
Denzo is not liable for any indirect or consequential damages.
-
Any liability is limited to the amount paid by the client for the project.

Denzo is not liable for issues caused by external plugins, tools, or services, or for client misuse of the site.
10. Termination
-
Projects may be terminated by either party in writing.
-
Work completed up to termination will be invoiced accordingly.
11. Confidentiality
All shared information between both parties will be treated as confidential and will not be shared with third parties without consent.
12. Governing Law
All agreements with Denzo Designs and Growth Marketing are governed by the laws of Aruba. Any disputes will be settled under Aruban jurisdiction.
🔧 Maintenance Terms
13. Scope of Maintenance
Denzo offers maintenance services which may include:

Software and security updates

Uptime and performance monitoring

Backups and recovery support
-
Minor technical fixes and adjustments
-
Technical support for existing features
The following are not included:
-
New functionality or major redesigns
-
SEO services or strategy
-
Hosting and email server management
14. Response Time
Maintenance requests are typically handled within 48 hours of receiving the request on business days, unless otherwise communicated.
15. Client Responsibilities

Clients must provide necessary access (admin login, hosting info)
-
Content management remains the client’s responsibility unless stated in the plan
16. Liability & Limitations
-
Denzo is not liable for issues caused by third-party plugins, themes or client-side actions
-
If no recent backup is available, additional recovery work may be billed separately
-
Denzo reserves the right to refuse maintenance on compromised or outdated websites
17. Cancellation
-
Maintenance plans can be cancelled with 30 days’ notice in writing
-
No refunds will be provided for unused time within a billing period
-
Upon cancellation, the client is responsible for maintaining their website
18. Emergency Support
Urgent issues (e.g. hacked site, site offline) may be handled outside normal scope, with priority given where possible. Additional costs may apply depending on the nature of the emergency.
